These Terms of Service govern access to and use of the Linguality website, applications, and related services (collectively, the “Service”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
In these Terms, “Linguality,” “we,” “us,” and “our” mean CP Systems, and “you” means the person or entity using the Service.
1. The Service
Linguality is a language-learning platform that provides educational features, including language-learning content, exercises, assessments, progress tracking, and related tools and materials.
We may update, improve, modify, suspend, or discontinue any part of the Service at any time, to the extent permitted by applicable law.
2. Eligibility and Accounts
You may use the Service only if you are legally permitted to do so. If you are below the age at which you can legally accept these Terms in your jurisdiction, a parent or legal guardian must accept them on your behalf.
You may be required to create an account to access some or all features of the Service. You agree to provide accurate, current, and complete information and to keep it updated.
You are responsible for:
- maintaining the confidentiality of your account credentials;
- all activity that occurs under your account; and
- promptly notifying Linguality of any unauthorized access to or use of your account.
We may suspend or terminate accounts that are inaccurate, insecure, fraudulent, abusive, or otherwise in violation of these Terms.
3. License to Use the Service
Subject to these Terms, Linguality grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, lawful, non-commercial educational use.
This license does not transfer ownership of the Service or any content made available through it.
4. Acceptable Use
You agree not to:
- use the Service for any unlawful, harmful, fraudulent, or deceptive purpose;
- copy, reproduce, republish, distribute, sell, license, or commercially exploit any part of the Service except as expressly permitted by applicable law or an applicable license;
- reverse engineer, decompile, disassemble, or attempt to derive source code from the Service, except where such restriction is prohibited by applicable law;
- interfere with or disrupt the integrity, security, availability, or performance of the Service;
- circumvent authentication, authorization, usage limits, or technical protections;
- scrape, harvest, or systematically extract data from the Service;
- upload, submit, or transmit content that is unlawful, infringing, defamatory, abusive, threatening, obscene, or otherwise objectionable;
- impersonate any person or entity or misrepresent your affiliation with any person or entity; or
- use the Service to develop, train, or improve a competing product or service using content or data obtained from Linguality, unless expressly authorized in writing.
5. User Content
The Service may allow you to submit, upload, record, store, or transmit content, including text, answers, recordings, files, and other materials (“User Content”).
You retain ownership of your User Content. However, you grant Linguality a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, adapt, display, and use your User Content only as necessary to operate, provide, maintain, improve, moderate, secure, and support the Service.
You represent and warrant that:
- you own your User Content or have all rights necessary to submit it;
- your User Content does not violate any law or third-party right, including intellectual property, privacy, publicity, confidentiality, or contractual rights; and
- your User Content does not contain malicious code or harmful material.
We may remove or restrict access to User Content that violates these Terms or that creates legal, operational, or security risk.
6. Educational Purpose; No Guaranteed Outcomes
Linguality is an educational service. It is intended to support language learning, practice, and skill development.
We do not guarantee any specific outcome, including any particular level of proficiency, examination result, academic result, employment result, immigration result, certification, or professional advancement.
Your progress depends on many factors outside our control, including prior knowledge, study habits, time invested, and how you use the Service.
7. Third-Party Data and Materials
The Service may include or rely on third-party data, dictionaries, corpora, lexical resources, audio, software, libraries, or other materials. Rights in those materials remain with their respective owners or licensors.
Your use of third-party materials made available through the Service may be subject to additional license terms, attribution requirements, or usage restrictions. Linguality does not grant rights beyond those it is legally permitted to grant.
8. Intellectual Property
As between you and Linguality, Linguality and its licensors own all rights, title, and interest in and to the Service, including its software, interface design, branding, original text, original educational content, database structure, and all related intellectual property rights, except for User Content and third-party materials owned by others.
You may not use Linguality’s name, logos, trademarks, or other brand features without prior written permission.
9. Subscriptions, Fees, and Billing
Some features of the Service may be offered on a paid basis. If you purchase a subscription or other paid access:
- you agree to pay all applicable fees, taxes, and charges disclosed at the time of purchase;
- recurring subscriptions will renew automatically for the same billing period unless cancelled before renewal, where automatic renewal is offered;
- you authorize Linguality and its payment processors to charge the applicable payment method for renewals and related charges;
- prices, plan features, and availability may change from time to time, but changes will not affect the current billing period already paid for unless applicable law permits otherwise.
Unless otherwise stated at the time of purchase, fees are non-refundable except where required by applicable law.
You are responsible for providing a valid payment method and keeping billing information current.
10. Cancellation
You may cancel your subscription at any time through your account settings or another method made available by Linguality. Unless stated otherwise at the time of purchase, cancellation takes effect at the end of the current paid billing period, and you will retain access to paid features until that period ends.
Deleting your account does not automatically entitle you to a refund unless required by applicable law.
11. Privacy and Data Use
To operate the Service, Linguality may collect and process account information, learning activity, technical information, communications, recordings, submissions, billing-related information, and other data you provide or generate through use of the Service.
We use such information to provide the Service, personalize learning features, maintain security, process transactions, communicate with users, comply with legal obligations, and improve the Service.
12. Service Availability and Changes
We aim to provide a reliable service, but we do not guarantee that the Service will always be available, uninterrupted, secure, or error-free.
We may perform maintenance, deploy updates, change features, impose usage limits, or restrict access where reasonably necessary for technical, operational, legal, or security reasons.
13. Suspension and Termination
We may suspend or terminate your access to all or part of the Service immediately if:
- you violate these Terms;
- your use creates legal, security, or operational risk;
- we are required to do so by law;
- payment for a paid service cannot be completed; or
- we reasonably believe suspension or termination is necessary to protect Linguality, users, or third parties.
You may stop using the Service at any time. You may also request account deletion, subject to any legal retention obligations and any technical or administrative limits applicable to the Service.
Sections that by their nature should survive termination will survive, including ownership, payment obligations, disclaimers, limitation of liability, indemnity, and dispute-related provisions.
14. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available.” Linguality disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing, usage, or trade practice.
Without limiting the foregoing, Linguality does not warrant that the Service will be uninterrupted, error-free, secure, accurate, complete, or suitable for your specific needs.
15. Limitation of Liability
To the maximum extent permitted by applicable law, Linguality and its directors, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunity, or anticipated savings, arising out of or related to the Service or these Terms.
To the maximum extent permitted by applicable law, the total liability of Linguality for all claims arising out of or relating to the Service or these Terms will not exceed the amount you paid to Linguality for the Service during the twelve (12) months before the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
16. Indemnity
To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Linguality and its directors, officers, employees, contractors, affiliates, licensors, and service providers from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to:
- your use of the Service;
- your User Content;
- your violation of these Terms; or
- your violation of any law or third-party right.
17. Governing Law and Disputes
These Terms are governed by the laws of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of laws principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts located in Vancouver, British Columbia, Canada, unless applicable law requires otherwise.
18. Changes to These Terms
Linguality may update these Terms from time to time. If we make material changes, we may provide notice by posting the revised Terms, updating the effective date, or using other reasonable means.
Your continued use of the Service after revised Terms become effective constitutes acceptance of the updated Terms, to the extent permitted by applicable law.
19. General
If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.
Linguality’s failure to enforce any provision is not a waiver of that provision or any other provision.
You may not assign or transfer these Terms or your rights under them without Linguality’s prior written consent. Linguality may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
These Terms constitute the entire agreement between you and Linguality regarding the Service, except for any additional terms expressly presented to you for specific features or services.
